Advance Energy Limited ACN 111 823 762 ("Advance") lodged a prospectus ("Prospectus") with the Australian Securities and Investments Commission ("ASIC") on 29 October 2009.

 Please read this notice and disclaimer in order to view the Prospectus.

 The Prospectus relates to the offer of offering 20,000,000 Convertible Notes each at an offer price of $1.00 (“the Offer”).

 In accordance with Chapter 6D of the Corporations Act 2001, this Prospectus is subject to an exposure period.  The purpose of the exposure period is to enable this Prospectus to be examined by market participants prior to the raising of funds, which examination may result in the identification of deficiencies in the Prospectus.

1. No preference will be conferred on applications received during the exposure period and all applications received during the exposure period will be treated as if they were simultaneously received on the date on which applications open.

 Following the expiry of the exposure period, the Offer described in the Prospectus is available to persons receiving the electronic version of this Prospectus. Convertible Notes in Advance will only be issued on the basis of a printed application form issued together with the Prospectus.
